Terms of Use and Confidential Information Agreement

By accessing the confidential information provided on this platform, you (the "User") agree to the following terms:

 

The User acknowledges that the confidential information provided, including proprietary details about an off-market new construction real estate project at the specific property address disclosed ("Confidential Information"), is solely for the purpose of evaluating a potential real estate transaction through New and Modern Group LLC (the "Disclosing Party").

Confidential Information includes, but is not limited to:

• Project details, designs, images, and specifications for the property;

• The location and description of the off-market property under development;

• Financial, technical, and strategic information related to the property;

• Any other information marked as confidential or reasonably understood to be confidential.

 

The User AGREES TO: (a) To keep all Confidential Information strictly confidential and not disclose it to any third party; (b) Not to use the Confidential Information for any purpose other than the stated purpose; (c) To restrict access to the Confidential Information to individuals who require it for the stated purpose and are bound by similar confidentiality obligations.

 

The User AGREES NOT TO:

(a) Contact, negotiate, or communicate about this Confidential Information with the owner, developer, or related entities associated with the specific property address disclosed without the prior written consent of the Disclosing Party;

(b) Submit offers or proposals for this property directly to the owner or developer of the property;

(c) Take any actions that circumvent or interfere with the Disclosing Party’s relationship or agreement with the owner, developer, or related entities of the specific property.

 

All Confidential Information remains the exclusive property of the Disclosing Party. Access to the information does not grant the User any rights or licenses.

In the event of a breach or threatened breach of this Agreement, the Disclosing Party may seek injunctive relief, damages, or other legal remedies. The User agrees to indemnify and hold the Disclosing Party harmless from any resulting damages or losses.

By accessing the Confidential Information, the User acknowledges and agrees to these terms. If the User does not agree, they must not access the information.

This Agreement is governed by the laws of the State of New Jersey, without regard to conflict of law principles.
